1. Agreement to Terms
By accessing or using ShipESS's services, website, and applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
ShipESS ("we", "our", or "us") reserves the right to modify these Terms at any time. We will provide notice of any material changes through the Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
2. Description of Services
ShipESS provides Shopify order sync and USPS shipping label creation. Our Services allow you to:
- Connect your Shopify store
- Sync and view order details
- Check USPS rates by package size and weight
- Create USPS labels and tracking for shipments
3. Account Registration and Security
To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.
4. Data Integration and Authorization
By connecting your Shopify store or USPS account information to ShipESS, you authorize us to access and process data from these platforms on your behalf. You represent and warrant that you have the necessary rights and permissions to grant us such access.
5. Shipping Costs
You are responsible for USPS postage and any carrier fees associated with labels you create. ShipESS does not currently process payment for postage; label purchases are authorized through your USPS account settings.
6. Intellectual Property Rights
The Services, including all content, features, and functionality, are owned by ShipESS or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You retain all rights to your data. By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display your data solely to provide and maintain the Services.
The labels, receipts, and other outputs generated by ShipESS are provided for your business operations. You have the right to use these outputs for fulfillment purposes, but we retain ownership of the underlying software and technology.
7. Prohibited Uses
You agree not to use the Services:
- In any way that violates applicable laws or regulations
- To transmit any material that is defamatory, offensive, or otherwise objectionable
- To attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services
- To collect or track personal information of others
- To impersonate or attempt to impersonate ShipESS, an employee, another user, or any other person
- To engage in any other conduct that restricts or inhibits anyone's use of the Services
8. Limitation of Liability
To the maximum extent permitted by law, ShipESS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use the Services
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from the Services
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available through the Services
In no event shall our total liability to you for all claims exceed the amount paid by you to ShipESS during the twelve (12) months preceding the event giving rise to the liability.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
While we strive to provide accurate label data and pricing information, ShipESS does not warrant that all carrier responses will be error-free. Shipping decisions made using the Services are at your own risk.
10. Indemnification
You agree to defend, indemnify, and hold harmless ShipESS, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.
12. Governing Law
These Terms shall be governed by the laws of the State of Florida, without respect to its conflict of laws principles. Any dispute arising from or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in Miami Dade County, Florida.
